Codum GmbH, Zeller Str. 29, 82067 Zell, Germany (“Codum”, “We” or “Us”) provides a cloud-based software solution for (AI-based) learning and development (“Software”) to You, as an organization (“You” or "Customer”, together with Us, the “Parties”). These Terms and Conditions ("T&C") govern Your use of the Software through online interfaces such as web browsers, apps, or application programming interfaces, as defined by Us and updated from time to time (“Interface").
1.1 These T&C apply to all business relationships between Codum and its customers in their version valid at the time of the conclusion of the contract.
1.2 Deviating conditions of the Customer are not recognized unless Codum expressly agrees to their validity in writing.
2.1 Codum provides services in the area of (AI-based) learning and development solutions for companies. The exact services result from the respective service descriptions on the website or in the offer.
2.2 The scope of services to be provided is based on the individual contract between Codum and the Customer.
3.1 A contract is concluded when the Customer accepts an offer from Codum or a written order confirmation is provided by Codum.
3.2 Amendments and supplements to the contract must be made in writing.
4.1 Codum provides the Customer with the contractually agreed services, including access to the solution and the provision of analyses and reports.
4.2 Codum reserves the right to change or discontinue the services offered, provided this is reasonable for the Customer considering their interests.
5.1 The Customer agrees to use the services provided by Codum only within the framework of the legal provisions and in accordance with these T&C.
5.2 The Customer is obligated to keep access data confidential and protect it from access by unauthorized third parties.
6.1 The remuneration is based on the contractually agreed prices and is due for payment within 30 days of the invoice date, unless otherwise agreed, without deduction.
6.2 In the event of default in payment, Codum is entitled to demand default interest at the statutory rate.
7.1 Codum collects, processes, and uses personal data of the Customer exclusively within the framework of the legal provisions.
7.2 Further information can be found in Codum's privacy policy.
8.1 Codum is only liable for damages resulting from an intentional or grossly negligent breach of duty by Codum, its legal representatives, or vicarious agents.
8.2 Liability for slight negligence is excluded unless it concerns the breach of essential contractual obligations.
9.1 The pilot contract can be terminated by either party without notice before the agreed term ends. This does not affect any payments already made.
9.2 The right to extraordinary termination for good cause remains unaffected.
10.1 The law of the Federal Republic of Germany applies.
10.2 The place of jurisdiction is the registered office of Codum.
10.3 Should individual provisions of these T&C be or become invalid, the validity of the remaining provisions remains unaffected.
